The general agreement for WhyHire projects and anonymous business analysis, including scope, payment, delivery, ownership, remedies, and use of AI-assisted fulfillment.
1. Agreement and eligibility
These Terms of Service are a contract between you and Digital Raspberry LLC, which operates WhyHire. By submitting a website for analysis, accessing an analysis preview or complete report, requesting a no-charge sample, creating a paid order, starting a no-charge demo execution, or otherwise using WhyHire, you agree to these Terms.
An anonymous business analysis is an informational feature. Requesting or accessing an analysis does not create a paid project, approved scope, payment obligation, or fulfillment commitment.
You must be at least 18 years old and able to enter into a binding contract for yourself or the organization you represent. If you use WhyHire for an organization, you represent that you have authority to bind it.
2. What WhyHire provides
WhyHire provides fixed-scope business project services. It may use software, artificial intelligence, automation, third-party tools and data sources, and human fulfillment or quality review. You purchase the approved deliverable, not a particular internal production method unless the approved scope expressly says otherwise.
Services may include research, data work, marketing, sales, presentations, financial or business modeling, automation, websites, media, startup work, and custom projects. WhyHire may decline work it cannot responsibly or reliably fulfill.
Anonymous business analysis
WhyHire may offer a no-charge analysis of a publicly accessible business website submitted by a visitor. The analysis reviews a bounded selection of public pages and may identify evidence-supported observations, limitations, and potential opportunities. It is not a comprehensive audit, verification of the business, approved project scope, or promise to perform work.
A person may submit a public business website without representing that they own or represent that business, but they may not use the feature for harassment, unlawful surveillance, deception, infringement, or another prohibited purpose. WhyHire may refuse, limit, expire, block, correct, or remove an analysis when evidence is insufficient or when needed to protect rights, safety, privacy, security, or service integrity.
Analysis results may contain errors, omissions, estimates, or conclusions limited by unavailable pages and source quality. They are informational only. You must independently evaluate them before reliance and obtain qualified professional advice where appropriate.
3. Approved scope and order of precedence
These Terms are the general agreement for WhyHire services. Before purchase, the server-approved project scope presents the project-specific deliverables, assumptions, exclusions, price, delivery commitment, customer responsibilities, and any revision commitment.
The approved project scope may refine those project-specific commercial details. It does not override these Terms on ownership, confidentiality, payment, prohibited use, disclaimers, liability, indemnity, disputes, or other legal protections unless a separately authorized written agreement expressly identifies the provision it changes.
If project-specific commercial language conflicts with these Terms, these Terms control except for the project-specific deliverables, assumptions, exclusions, price, delivery commitment, customer responsibilities, and revision commitments stated in the approved scope.
4. Your responsibilities
You are responsible for giving WhyHire reasonably accurate information, timely answers, required materials, and any access needed to perform the approved scope. You must have authority and sufficient rights to provide all Customer Content.
You are responsible for reviewing deliverables before relying on them, particularly when they affect important business, financial, legal, safety, or operational decisions. You remain responsible for decisions you make using a deliverable.
If required inputs, access, or responses are late, incomplete, or materially changed, the delivery commitment may be paused or reasonably adjusted. WhyHire will not use customer delay as unlimited discretion to disregard an agreed commitment.
5. Customer Content
Customer Content means project descriptions, prompts, clarification answers, documents, spreadsheets, images, datasets, business records, source materials, brand assets, authorized access details, and other materials you submit for a project.
You retain ownership of your pre-existing Customer Content. You grant Digital Raspberry LLC a limited, non-exclusive license to host, store, copy, process, analyze, transform, and disclose Customer Content only as reasonably necessary to scope, fulfill, validate, secure, support, and deliver the requested service, or to comply with law.
You represent that your Customer Content and WhyHire's permitted use of it do not violate law or another person's rights. Do not submit regulated or highly sensitive information unless WhyHire has expressly agreed in writing that the service is designed to handle it.
By submitting a public website address for analysis, you authorize WhyHire to validate the destination and process a bounded selection of its public pages for the analysis purposes described in these Terms and the Privacy Policy. If a verified report recipient later provides optional business metrics, that person authorizes WhyHire to process those metrics for the report and related scoping. This limited authorization does not transfer ownership of the submitted address, public source material, or optional metrics to WhyHire or the submitter. Public source material remains subject to the rights of its owner.
6. Rights in paid final deliverables
After all applicable fees are successfully paid, you receive the rights Digital Raspberry LLC can legally grant in the final deliverables created specifically for your approved project. Drafts, internal work product, quality records, and production artifacts are not final deliverables unless the approved scope says they are.
A deliverable may include third-party materials, open-source software, stock assets, fonts, licensed data, customer materials, or AI-generated components. Those items remain subject to applicable third-party terms and may not support exclusive ownership or copyright. WhyHire does not promise rights it does not own or cannot legally transfer.
7. WhyHire technology and generalized learning
Digital Raspberry LLC retains all rights in the WhyHire platform, software, workflows, methodologies, templates, scoring systems, prompts, automation, know-how, quality systems, generalized processes, underlying tools, and other pre-existing or independently developed intellectual property.
WhyHire may use aggregated, de-identified, or otherwise non-customer-identifying operational learnings to improve workflows, automation, service design, and quality systems. This permission does not authorize WhyHire to publish, sell, market with, or expose identifiable Customer Content, confidential business metrics, an identifiable analysis, or a customer-specific deliverable. It also does not activate or authorize reuse of an identifiable anonymous analysis for another recipient or an outbound prospecting program.
WhyHire will not use your name, logo, testimonial, case study, customer-specific deliverable, or identifiable project details for marketing without separate permission.
8. AI and automated systems
WhyHire uses artificial intelligence and automated systems to understand requests, ask questions, create scopes, research or analyze information, generate or transform content, perform fulfillment steps, and support quality checks.
AI-assisted work can contain errors, omissions, bias, or material that resembles existing content. Appropriate human review depends on the intended use, and you are responsible for that review before high-impact reliance. Information may be processed by third-party AI providers as described in the Privacy Policy.
WhyHire may use automated systems to collect and structure publicly accessible website information. Depending on the workflow, information may also be processed by artificial intelligence providers. WhyHire does not represent that every anonymous analysis uses a particular provider or processing method.
9. Third-party services and information
WhyHire may rely on payment, authentication, hosting, storage, AI, data, external API, software platform, and customer-authorized service providers. Their availability, output, policies, and behavior may affect a project.
WhyHire is not responsible for a third party's independent outage, policy change, data error, or action outside WhyHire's reasonable control. This section does not excuse WhyHire from the deliverable and remedy commitments it expressly made in the approved scope and the WhyHire Promise.
Analysis links, email access, and optional metrics
An analysis status link is an unguessable link, not an authenticated account. Anyone who obtains it may be able to view the status and any eligible preview. A full-report link is a separate, time-limited capability issued after email verification. Recipients must protect these links and should not forward them to people who should not have access. WhyHire may revoke or expire access.
Email verification confirms control of a mailbox; it does not by itself prove ownership of or authority to act for the analyzed business. WhyHire may require a business-domain email or additional review for a sample or other restricted feature.
Business metrics requested in a report are optional unless expressly stated otherwise. WhyHire uses submitted metrics to calculate or refine the recipient's report and related scoping. Results based on those metrics are estimates subject to stated assumptions, ranges, and limitations.
10. Price, payment, and taxes
WhyHire presents the server-approved scope and one-time fixed project price before purchase. Paid fulfillment begins only after Stripe reports a successful payment and WhyHire verifies it against the immutable order. WhyHire does not currently offer subscriptions, stored credits, or customer wallets.
Payments are processed through Stripe Checkout. You authorize the stated charge and are responsible for using an authorized payment method. Applicable taxes may be added when required. A return from Stripe or a browser message is not proof of payment; WhyHire's verified payment record controls.
11. Delivery
Each approved scope states its delivery commitment. Timing may depend on receiving required Customer Content, answers, approvals, or third-party access. A commitment may also be reasonably adjusted for a material scope change or an event outside WhyHire's reasonable control.
A project is delivered when WhyHire makes the final deliverable available through the project workspace or another agreed delivery method. Delivery does not mean a promised downstream business outcome occurred.
12. Revisions, cancellations, and the WhyHire Promise
The approved scope controls any project-specific revision commitment. Unless the scope says otherwise, one scope-based revision is the normal first remedy when a final deliverable materially does not match the approved scope.
WhyHire will first try to correct a material mismatch with the approved, paid scope. If WhyHire confirms that it cannot reasonably correct the mismatch or fulfill the agreed scope, WhyHire will refund the amount paid for the affected project. Refunds are not automatic, self-service, unlimited, or promised on a guaranteed timeline.
Requests that change the approved scope may require a new scope and price. If you ask to cancel after fulfillment has begun, refund eligibility depends on work performed, committed third-party costs, the approved scope, and whether WhyHire can still fulfill or cure the agreed work.
No-charge samples and analysis conversion
A request for a no-charge sample is subject to eligibility, expiration, capacity, and manual approval. A requested or approved sample is not a paid order, final deliverable, guaranteed service, or commitment under the WhyHire Promise. Any rights provided in a completed sample are limited to the sample as delivered and any applicable third-party restrictions.
Choosing a finding or completed sample to start a project creates or updates a request for scoping. It does not approve a scope, set a final price, authorize payment, begin paid fulfillment, establish a delivery commitment, or activate the WhyHire Promise. Those commitments arise only at the existing approved-scope and purchase boundaries described in these Terms.
13. Deliverables are not business outcome guarantees
WhyHire commits to the deliverable described in the approved scope, not to results controlled by customers, audiences, markets, platforms, or other third parties.
A pitch deck does not guarantee investment or fundraising. A prospect list does not guarantee replies, meetings, pipeline, or sales. SEO work does not guarantee rankings or traffic. Marketing content does not guarantee conversions. A website does not guarantee revenue. Research does not guarantee a successful business decision. Automation does not guarantee uninterrupted third-party systems. A financial or business model does not guarantee future financial performance.
14. No regulated professional advice
Unless an approved scope expressly establishes a qualified professional service, WhyHire does not provide legal, tax, accounting, investment, medical, or other regulated professional advice. Business analysis, research, models, and content are informational work products. Obtain advice from an appropriately qualified professional when required.
15. Baseline confidentiality
Digital Raspberry LLC will use reasonable care to protect non-public Customer Content and will use or disclose it only to provide, secure, support, or improve the service as permitted by these Terms and the Privacy Policy, or as required by law.
This baseline commitment does not apply to information that becomes public without WhyHire's breach, was already lawfully known without restriction, is received lawfully from another source, or is independently developed without use of the confidential information. It is not a negotiated enterprise nondisclosure agreement.
16. Prohibited use
You may not use WhyHire or a deliverable for illegal activity, fraud, deceptive impersonation, infringement, unlawful spam, abuse, malware, malicious activity, unauthorized access, or attempts to compromise WhyHire or another system. You may not submit content you lack the right to use.
WhyHire may refuse, suspend, or stop work that violates this section or presents a material legal, security, safety, or integrity risk.
17. Suspension and termination
You may stop using WhyHire at any time. Digital Raspberry LLC may suspend access or terminate service for a material breach of these Terms, nonpayment, unlawful or prohibited use, security risk, or when continuing the service would violate law.
Termination does not erase payment obligations already incurred or rights and obligations that by their nature should survive. Provisions about ownership, licenses already needed to complete or secure a project, confidentiality, disclaimers, liability, indemnity, disputes, and payment survive as applicable.
18. Warranties and disclaimers
WhyHire will perform the approved project using commercially reasonable care and will honor the express deliverable and remedy commitments in the approved scope and WhyHire Promise.
Except for those express commitments and to the maximum extent permitted by law, the service and all third-party information are provided as available. Digital Raspberry LLC disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free availability. These disclaimers do not waive rights that cannot legally be waived.
19. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising from these Terms or a project, even if advised that such damages were possible.
To the maximum extent permitted by law, Digital Raspberry LLC's total aggregate liability arising from a project or these Terms will not exceed the greater of 100 U.S. dollars or the amount you paid WhyHire for the project giving rise to the claim. This cap does not limit liability that applicable law does not permit the parties to limit.
20. Narrow customer indemnity
You will defend and indemnify Digital Raspberry LLC and its personnel against third-party claims, damages, and reasonable costs arising from Customer Content that you did not have the right to provide, or from your unlawful use of WhyHire or a deliverable. This obligation applies only to the extent the claim was caused by your conduct and does not cover WhyHire's own breach, negligence, or misconduct.
WhyHire will promptly notify you of a covered claim and provide reasonable cooperation. You may control the defense, but you may not settle a claim in a way that admits fault by or imposes non-monetary obligations on Digital Raspberry LLC without written consent.
21. Colorado law and courts
Colorado law governs these Terms without regard to conflict-of-law rules. Any dispute arising from these Terms or a WhyHire project must be brought in the state courts located in Denver County, Colorado, or the federal courts with jurisdiction over Denver, Colorado, and each party consents to those courts.
These Terms do not require mandatory arbitration and do not include a class-action waiver or jury-trial waiver.
22. Changes, notices, and contact
WhyHire may update these Terms for future projects. The version and fingerprint accepted for an order continue to govern that order unless the parties separately agree otherwise. Material changes will be presented as appropriate before a later purchase or demo execution.
WhyHire is operated by Digital Raspberry LLC. Privacy questions and applicable privacy-rights requests may be sent to privacy@whyhire.ai.
WhyHire may record the version and deterministic fingerprint of the Terms, Privacy Policy, and analysis notice presented for an anonymous analysis. A later policy version does not silently rewrite that historical record. Existing paid orders continue to be governed by the versions and fingerprints recorded for those orders unless the parties separately agree otherwise.
